Deciphering investment term sheets: how to make them more founder-friendly

Luis will talk about venture capital investments from the perspective of the founders. The ultimate purpose is to give out useful pointers on out to render any term sheet more founder-friendly. The workshop will be largely based on real life “war stories” and will derive from years of dealing with and advising start-ups and investors on a daily basis. Market standards (what’s normal and what it not) and current trends will be analyzed and relied upon throughout the session.

Some of the topics which will be covered: early stage financings (equity round vs convertible notes), valuations, classes of shares (preferred shares), liquidation/participation preference, anti-dilution, dividends, board seats, exclusivity, non-compete, vesting and employee stock option plans (ESOP), dealing with VCs pre and post investment, later stage-financings and related intricacies, exit scenarios. 

Luis Roquette Geraldes is a corporate lawyer at MLGTS, where he founded and is responsible for Team Genesis, a team of 13 lawyers dedicated to emerging and scalable tech start-ups (high growth companies). He works extensively with start-ups and venture capitalists in structuring and providing advice in national and international (cross-border) investments rounds
